CIRBRID – General Conditions of Sale
1. Scope of Agreement
All offers, sales, deliveries, and services by CIRBRID are subject to these Terms. Any deviations require written confirmation by CIRBRID.
2. Quotations and Orders
- All quotations are non-binding until confirmed in writing by CIRBRID.
- Purchase orders are subject to acceptance by CIRBRID.
- Any changes to an order must be confirmed by CIRBRID in writing.
3. Prices
- All prices are in INR (₹) or as specified in the quotation.
- Prices are exclusive of taxes, duties, freight, and insurance unless otherwise stated.
- CIRBRID reserves the right to adjust prices for any changes in raw material costs, transportation, or regulatory changes before final order confirmation.
4. Delivery
- Delivery dates are estimates only unless explicitly agreed in writing.
- CIRBRID shall not be liable for any delays due to force majeure, transportation delays, or supplier issues.
- Risk transfers to the Buyer upon dispatch from CIRBRID’s facility.
5. Payment Terms
- Payment shall be made as per the agreed terms mentioned in the quotation or sales order.
- Default in payment may result in delayed delivery, cancellation of order, or additional charges.
- CIRBRID reserves the right to withhold further deliveries if the Buyer has outstanding overdue payments.
6. Warranty
- CIRBRID warrants that its products are free from material defects and workmanship issues under normal use for a period of [Insert Warranty Period, e.g., 12 months] from the date of delivery.
- Warranty claims must be submitted in writing within the warranty period.
- The warranty is limited to repair, replacement, or refund at CIRBRID’s discretion.

- CIRBRID shall not be liable for indirect, incidental, or consequential damages.
- Total liability, whether in contract or tort, shall not exceed the value of the affected product(s).

- Customized or made-to-order products are non-returnable.
9. Intellectual Property
- All intellectual property rights, including but not limited to designs, drawings, and software, remain the property of CIRBRID.
- The Buyer shall not reproduce, copy, or disclose any CIRBRID intellectual property without prior written consent.
10. Governing Law and Jurisdiction
- These Terms are governed by the laws of India.
- Any disputes shall be subject to the exclusive jurisdiction of the courts of [Insert City, e.g., Kochi, Kerala].
11. Confidentiality
- All commercial, technical, and pricing information shared by CIRBRID is confidential and must not be disclosed to third parties without written consent.
12. Force Majeure
- CIRBRID shall not be liable for failure or delay in performance due to reasons beyond its reasonable control, including natural disasters, strikes, supplier failures, regulatory changes, or transportation disruptions.
